Welcome to Workflex! These Terms of Service ("Terms") govern your access to and use of Workflex's HR and payroll management platform. By using our services, you agree to these Terms.

1. Acceptance of Terms

By accessing or using Workflex ("Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

2. Description of Service

Workflex provides cloud-based HR and payroll management software that enables businesses to:

  • Manage employee records and information
  • Process payroll and calculate statutory deductions
  • Generate payslips and compliance reports
  • Track attendance and leave management
  • Manage employee benefits and performance reviews

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and authorized to represent your organization to use Workflex.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and up-to-date

4. Subscription and Payments

4.1 Subscription Plans

Workflex offers various subscription plans with different features and pricing. Current pricing is available on our website and may be changed with reasonable notice.

4.2 Billing

  • Subscriptions are billed monthly or annually in advance
  • Payment is due at the start of each billing period
  • All fees are non-refundable unless otherwise stated
  • You authorize us to charge your payment method automatically

4.3 Free Trials

Free trial users have access to limited features. We may convert your trial to a paid subscription at the end of the trial period unless you cancel.

5. Acceptable Use

5.1 Permitted Use

You may use Workflex only for lawful business purposes in compliance with these Terms and applicable laws.

5.2 Prohibited Activities

You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse engineer, decompile, or disassemble the software
  • Remove or modify any proprietary notices
  • Use the Service to transmit malware or harmful code
  • Resell or redistribute the Service without authorization
  • Scrape, crawl, or harvest data from the Service

6. Data and Privacy

6.1 Your Data

You retain all rights to the data you input into Workflex ("Customer Data"). We will not access, use, or share your Customer Data except as necessary to provide the Service or as required by law.

6.2 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

6.3 Data Processing

By using Workflex, you authorize us to process Customer Data to provide the Service. See our Privacy Policy for details on how we handle personal information.

7. Intellectual Property

7.1 Our Rights

Workflex and its original content, features, and functionality are owned by Workflex and are protected by international copyright, trademark, and other intellectual property laws.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use Workflex for your internal business purposes during your subscription term.

8. Service Level and Availability

8.1 Uptime Commitment

We strive to maintain 99.99% uptime for our Service. Scheduled maintenance will be announced in advance when possible.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice. We will make reasonable efforts to notify you of significant changes.

9. Termination

9.1 By You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

9.2 By Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activities
  • Present a security risk to the Service

9.3 Effect of Termination

Upon termination, your access to the Service will cease. You may request a data export within 30 days of termination, after which we may delete your data.

10. Warranties and Disclaimers

10.1 Service Warranty

We warrant that the Service will perform substantially as described in our documentation.

10.2 Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES

12. Indemnification

You agree to indemnify and hold Workflex harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of others
  • Your Customer Data

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict of law principles.

13.2 Arbitration

Any disputes arising from these Terms will be resolved through binding arbitration in Nairobi, Kenya, except where prohibited by law.

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Workflex regarding the Service.

14.2 Amendments

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

14.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign these Terms without our consent. We may assign these Terms at any time.
